Angel Venture Fair - Angel Education

"Who Are Angels? What Do They Do? And, How Do I Become One?"

ACCREDITED INVESTORS ONLY

Union League of Philadelphia
April 5, 2010
1:30 - 2:30 pm

Presented by: Peter Linder, Chairman of the Mid-Atlantic Angel Group Fund and Immediate Past Chairman of the Board of the Angel Capital Education Foundation.

Angel investors are high-net-worth individuals who provide funding, mentoring, expertise and contacts for start-up firms with growth potential. Many of them started, built and sold their own companies and are now in a position to invest not only their own money but their time in new businesses. The best angels provide more than capital to small businesses. They give back to the entrepreneurial economy by making high risk investments directly in early-stage companies in their communities and using their entrepreneurial experience to mentor the companies as they grow. This session is designed for the individual who qualifies as an accredited investor* and would like to know more about how to get involved in this community. The session will talk about the history of angel investing. It will review typical investment types, dollar amounts and deal structure as well as will provide a primer on the investment process including deal sourcing, screening, structuring and the value of participating in angel groups.

* The federal securities laws define the term accredited investor as a natural person who has individual net worth, or joint net worth with the person's spouse, that exceeds $1 million at the time of the purchase; or with income exceeding $200,000 in each of the two most recent years or joint income with a spouse exceeding $300,000 for those years and a reasonable expectation of the same income level in the current year.

Understanding the current thinking in raising capital and the current financial environment is essential for both investors and entrepreneurs. This workshop will explore how market trends affect the needs and behaviors of both investors and entrepreneurs and what angel investors believe are the best - and worst - practices by companies who are seeking funding for their company. The presenter will discuss new developments in pre-money valuation and deal terms amongst other topics of interest including:

  • Current Capital Raising Environment uses data from PricewaterhouseCoopers MoneyTree, Dow Jones VentureSource, Center for Venture Research, and ACA to give the audience a sense of current market activity.
  • Meeting Investor Expectations uses data from a recent ACA member survey and the study "Returns of Angels in Groups" (published by the Kauffman Foundation and led by Robert Wiltbank) to set up discussions of the best practices for company documents - executive summary, business plan, slide deck, financial model - as well as due diligence, governance, and deal referrals.
  • Company Valuation is a condensed review of current valuation data as well as the primary methods taught in the longer "Valuation and Portfolio Strategies" workshop from the Power of Angel Investing Series.

How do both angels and investors work best to establish an information flow that gets the most out of the relationship? This presentation will include a discussion on quarterly reporting standards and recommendations for efficient and effective communications which lead to success.

Angel Venture Fair - Speed Dating

ACCREDITED INVESTORS AND INVITED COMPANIES ONLY

Sponsored by Ben Franklin Technology Partners of Northeastern PA
April 6, 2010
4:30pm - 6:30 pm

(Angel Investors and Entrepreneurs Registered for AVF Only)

The Angel Venture Fair is adding a new feature called Speed Dating that will introduce entrepreneurs and investors in a fast-paced, yet meaningful way. Companies will have the opportunity to deliver their elevator pitch or two-minute summary to the investors, participate in a brief Q&A and exchange contact information. Since each session is only seven minutes long, entrepreneurs should get exposure to eight or more investors. Investors will get a quick look at eight or more companies. The term "speed dating" comes from the events that match single adults in short introductory sessions. The concept was adapted for investors and companies by the Ben Franklin Technology Partners of Northeastern PA whose staff will be coordinating the event.

Companies selected for this event will be required to attend a training session. The date of the training session is to be determined. The elevator pitch is one of the most frequent communications that an entrepreneur makes, and it is also one of the more difficult ones. Research has validated the importance of making a positive first impression. At the Angel Venture Fair you will be pitching to as many as a dozen investors. This training will help you develop and deliver a succinct message to investors, customers, potential employees and networking contacts.
