Private Investors Forum facilitates the introduction of applicant entrepreneurs and investors through circulation of materials and presentations; it does not function as a securities broker-dealer, investment advisor, securities exchange or clearinghouse, and is not registered with the Securities and Exchange Commission or any state securities commissions.
Investments in entrepreneurial firms that use Private Investors Forum will usually involve a high degree of risk. All investors are encouraged to seek legal and other professional counsel prior to making such investments. Private Investors Forum does not evaluate or endorse the investment opportunities presented through its services and makes no recommendations regarding the appropriateness of particular investment opportunities for particular investors. Investors must rely on their own judgment and that of their advisors regarding the merits of a particular investment opportunity.

Any sale or purchase of investment interest resulting from a facilitated introduction shall be on a negotiated basis between the entrepreneur and the investor(s) without any participation or remuneration to Private Investors Forum.
Institutional membership in Private Investors Forum is limited to institutions that quality as "accredited investors" under regulation D of the U.S. Securities and Exchange Commission AND have such knowledge and experience in financial and business matters that they are capable of evaluating the merits and risks of prospective investments AND are of good character and reputation. Institutions applying for membership in Private Investors Forum must complete an application for membership and agree to the following certification:
Investor Certification
Individual membership in Private Investors Forum is limited to investors who qualify as follows:
1. "accredited investor" under rule 501 (a) of Regulation D of the U.S. Securities and Exchange Commission.
Rule 501(a) defines an accredited investor to include: (1) any natural person whose individual net worth, or joint net worth with that person's spouse, at the time of his purchase exceeds $1,000,000, or (2) any natural person who had an individual income in excess of $200,000 in each of the two most recent years or joint income with that person's spouse in excess of $300,000 in each of those years and who reasonably expects to reach the same income level in the current year. By participating in the Private Investors Forum, I certify that I am an accredited investor and possess knowledge and experience in financial and business matters and am capable of evaluating the merits and risks of prospective investments.
2. Individuals who have such knowledge and experience in financial and business matters that they are capable of evaluating the merits and risks of prospective investments. 3. Individuals who are of good character and reputation in the business community.
Investors interested in joining Private Investors Forum must complete an application for membership.

I understand that the Private Investors Forum is a non-profit membership organization of investors which accepts no commissions for funds raised and takes no responsibility for representing the interests of entrepreneurs. All members of Private Investors Forum are responsible for conducting their own due diligence. Private Investors Forum does not recommend deals. Private Investors Forum makes no offering of deals to its members.
I understand that Private Investors Forum will perform a preliminary review my business plan for eligibility free of charge. I acknowledge that Private Investors Forum may determine that my business plan is not eligible. In the event that my plan is not considered eligible, I understand that Private Investors Forum will notifv me, but that my application and business plan will not be returned. I acknowledge that in the event that the business plan is eligible, there will be an administrative fee for screening and an additional fee for presentation. I understand that PIF may circulate a copy of the business plan to Private Investors Forum members for screening and informational purposes only. This circulation is not and cannot be construed as an offering. By participating in this process, I signify that Private Investors Forum has made no representations or promises that funds will be raised from members of Private Investors Forum.
Private Investors Forum does not function as a securities broker-dealer or as an investment advisor and is not registered as such with the Securities and Exchange Commission or any state securities commission. Any investment resulting from services provided by Private Investors Forum shall be on a privately negotiated basis between the entrepreneur and the member(s) without any participation by or remuneration to Private Investors Forum. Private Investors Forum disclaims responsibility for any statement (whether oral or written) or act of its members (including officers and directors) relating to securities and/or investment matters.
